Terms of service

The agreement between your organisation and Morgan Jonasson Consulting AB for Spool Cloud and spool.page.

Last updated 21 October 2026.

1. Who agrees to what

These terms are an agreement between Morgan Jonasson Consulting AB, organisation number 556991-2321, c/o Morgan Jonasson, Kopernikus Väg 6, 147 46 Tumba, Sweden ("we", "us"), and the person or organisation that uses Spool Cloud ("you"). Spool Cloud is sold only to businesses and professionals, freelancers and sole traders included, for use in their work. Starting a team or paying for one confirms that you are buying for your business or work: both ask you to tick "I'm buying for my business or work". If you accept these terms for a company or another organisation, you confirm that you may bind it, and "you" means that organisation.

You accept these terms when you start a team, join one, or pay for one. Starting a team on spool.page or in the app says so next to the button, and Stripe Checkout asks you to tick that you accept them before you pay. Our data processing agreement (the DPA) is part of these terms and binds both of us when you accept them, with no signature needed.

These terms are in English. This page is where they live; you can save or print it at any time, and every earlier version is kept and sent on request.

2. The service

spool is a prototyping canvas that runs on your own computer. It is free, and its source is published under the Functional Source License; that license, not these terms, governs the software. spool runs on macOS 14 or later. Editing a team project needs spool on a Mac; viewers and the people a team shares with open its projects in a browser. Spool Cloud is the hosted service around it: team projects whose files sync between members in about a second, the read-only canvas and Home at spool.page, share links, comments and their emails, invitations, and billing. These terms cover Spool Cloud and the website at spool.page.

A team project's files stay ordinary files in each member's own repository. Spool Cloud keeps the team's copy so that every save reaches everyone else, keeps the history of saves described in section 9, and serves the frames you share from a separate address on onspool.page.

3. Accounts

You sign in with a code sent to your email address, with Google, or with a passkey. Keep your devices and email account secure: anything done while signed in as you is treated as done by you. Tell us at once at privacy@spool.page if you think someone else has used your account.

An account belongs to one person. You may delete your account at any time from your account page; what that does to your teams is described in the Privacy notice.

4. Teams, roles and seats

A team has admins, editors and viewers. Admins manage the team, its people and its billing. Editors and admins change the team's projects; each of them is a seat. Viewers open the team's projects in a browser and are free. People a share names, and people outside the team who comment on a share, are free too.

The team's admins act for the team. If you are an admin, you are responsible for whom you invite and for keeping the number of seats right. Every member must follow these terms; the team is responsible for its members' use of Spool Cloud.

5. The trial

An account's first team starts with a free trial of 14 days, for up to 10 editors, with no card. Each account gets one trial. When the trial ends, an admin pays for the team's editors, or the team lapses as described in section 7. Nothing is charged unless an admin pays.

6. Prices, billing and renewal

A seat costs $20 a month billed monthly, or $16 a month billed yearly ($192 a year), in US dollars, plus VAT or other sales tax where it applies. Prices are shown before you pay. Payments are taken by Stripe, which holds your card; we never see the full card number.

  • Renewal. A subscription renews automatically at the end of each month or year, for the same number of seats at the price then in force, until it is cancelled.
  • Changing seats. Seats always equal the team's editors and admins. When an editor is added, a monthly plan charges for them on the next invoice and a yearly plan charges for the rest of the year at once. When an editor is removed, the unused time becomes a credit against later invoices; it is not paid out.
  • Changing plan. Moving from monthly to yearly happens at once, with the unused days credited. Moving from yearly to monthly happens at the end of the paid year.
  • Invoices. Stripe emails every invoice and receipt to the team's billing email. You may add a company name, address and VAT number at checkout or later; a VAT number added later counts from the next invoice.
  • Price changes. We tell the team's admins by email at least 30 days before a new price applies, and it applies from the next renewal after that. You may cancel before it does.

7. Cancelling, refunds and a team that stops paying

Cancelling. Any admin can cancel at any time under Manage billing in the team's Settings, which opens Stripe's customer portal. The team keeps working until the end of the period already paid for, and the cancellation can be undone until then.

Fees are non-refundable. Payments are not refunded, in full or in part, including for the rest of a period you cancel in. The exceptions are a change to the service that harms your use of it (section 13), the agreement ending as section 15 describes, and where the law requires it. We may refund a payment as goodwill if you email us at privacy@spool.page, but we don't promise to.

A failed payment. If a payment fails, Stripe retries the card for about two weeks while everything keeps working, and we email the team's admins. If it still fails, the team lapses.

A lapsed team. When a trial ends unpaid, a payment finally fails or a cancellation takes effect, the team lapses: members' copies stop syncing and stay as ordinary local projects on their computers, share links stop working, and the cloud canvas stays readable to the team's admins. Paying again reconnects everything. After 6 months unpaid, the team's cloud copy is deleted; we email the admins before that happens.

Deleting a team. An admin may delete a team. A paying team's subscription then ends at once with no refund. A deleted team is purged 30 days after it is deleted.

8. Your content

Your content is everything you and your team put into Spool Cloud: files, frames, comments, names and the like. It stays yours. You give us the permission we need to host, copy, sync, compile, display and back it up, only to provide Spool Cloud to you and the people you share it with, for as long as it is stored with us.

You are responsible for your content and for having the rights to it. Where your content contains personal data, you are its controller and we process it for you under the DPA.

9. Keeping, exporting and switching

Every editor's computer holds the team project's files as ordinary files in the repository's design/ folder, so your team always has its own copy. Spool Cloud also keeps every save to a team project for 90 days, so a save can be compared and restored; older saves are deleted, and a project's current files never are. A daily backup of each team project is kept for 30 days, for us to restore from if Spool Cloud loses data.

Exporting. A team's admins can export its data at any time: each team project as a git repository of its current files and its saves over the last 90 days, one commit per save, and a file of the team's members, their roles and its shares. That is the full list of data you can export. Until export is in the app, an admin asks at privacy@spool.page and we send it.

Switching away. You may end the service and move to another provider or to your own systems at any time, with no notice period beyond the end of what you have paid for, and we charge nothing for switching or for exporting. After a team ends, its admins can still export its data for 30 days after a deletion and 6 months after a lapse; then it is erased, except backups, which roll off within 30 days. We help with the switch in good faith and complete it within 30 days of your request. These clauses are meant to meet Chapter VI of the EU Data Act (Regulation 2023/2854).

10. What isn't allowed

You may not use Spool Cloud, or let anyone use your team, to:

  • store or share content that is illegal in the EU, in Sweden, or where you or its viewers are;
  • share child sexual abuse material, terrorist content, or content that incites violence or hatred;
  • infringe someone else's copyright, trademark, privacy or other rights;
  • harass, threaten, deceive or impersonate others, or collect their personal data unlawfully;
  • host phishing pages, malware, or frames built to attack or mislead the people who open them, including through a share link;
  • send spam, or use comments, invitations or shares to send messages people didn't ask for;
  • break into, probe, overload or disrupt Spool Cloud or other people's teams, or get around its limits, security or billing;
  • resell Spool Cloud, or offer it to others as a service of your own, without our written agreement.

Spool Cloud has fair-use limits that keep it working for everyone, such as how many saves a project takes a minute. They are described in spool's documentation and apply to every team alike.

11. Reporting content, removal and suspension

Anyone can tell us about content on Spool Cloud they believe is illegal or breaks these terms, through Report abuse or by email to abuse@spool.page. We confirm receipt, look at every notice with care and without undue delay, and tell the sender what we decided. Authorities reach us the same way.

If content is illegal or breaks these terms, we may remove it, disable a share link, or restrict or suspend the account or team involved, choosing the least that solves the problem. We act at once where there is a risk to someone's life or safety, and report it to the police where the law requires.

When we restrict your content or account, we send you a statement of reasons: what we did, why, what it rests on (the law or the clause of these terms), and whether it was decided with automated tools. You can answer it by email and we will look at the decision again, by a person. You may also take it to court. We close an account or team for good only for serious or repeated breaches, or where the law requires it.

12. Personal data

The Privacy notice says what personal data we hold as controller (accounts, sign-in, billing, the website) and why. For personal data in your team's content we are your processor under the DPA. The services we use to run Spool Cloud are listed on Subprocessors.

13. Availability and changes to the service

We work to keep Spool Cloud running and your data safe, but we don't promise it will be available without interruption or free of errors. We may change Spool Cloud and add or remove features. We tell admins by email at least 30 days before a change that takes away something a paying team relies on, and if the change harms your use of it, you may cancel and we refund the unused part of a yearly payment.

14. Liability

Neither of us is liable to the other for indirect or consequential loss, such as lost profit, lost revenue or lost business. Each party's total liability under these terms in any twelve months is limited to what you paid us for Spool Cloud in those twelve months. These limits don't apply to loss caused intentionally or by gross negligence, to your payment obligations, or where the law doesn't allow them. Liability for personal data is governed by the DPA and the GDPR.

You will compensate us for claims by others that arise from content you put into Spool Cloud in breach of these terms.

15. Ending the agreement

You may stop using Spool Cloud and delete your account or team at any time. We may end the agreement with 30 days' notice by email, refunding the unused part of any payment, or at once if you seriously breach these terms and don't put it right when asked. If we seriously breach these terms and don't put it right when asked, you may end the agreement at once and we refund the unused part of any payment. Sections 7, 9, 14 and 17 continue after the agreement ends.

16. Not for consumers

Spool Cloud is not sold to consumers. Whoever ticks "I'm buying for my business or work" when starting a team or paying for one confirms that they are not buying as a consumer, mainly outside their business or work. If you would be, don't start a team or pay for one: spool itself stays free on your computer.

17. Changes to these terms, law and disputes

We may change these terms. We tell admins by email at least 30 days before a change that matters to you takes effect, and the date at the top of this page changes with every version. If you don't accept a change, you may cancel before it applies.

These terms are governed by Swedish law. A dispute is decided by Swedish courts, with the Stockholm District Court (Stockholms tingsrätt) as the first instance.
